03 Buyer Evaluation & Data Rooms

04 Bid Date & Negotiation

Qualified, sealed bids from professional, well-capitalized acquirers.

On bid day, we review qualified, sealed bids and review the most viable alternatives for the seller’s consideration. We work closely with our clients to select the winning buyer and negotiate transaction documentation, optimizing purchase price as well as transaction terms.

Our track record and proprietary middle market buyer network ensure that we work only with professional, well-capitalized acquirers.

05 Diligence & Closing

Incentives aligned with yours to achieve a successful, value-maximized close.

Typically, buyers fund a deposit simultaneously with execution of the purchase agreement, followed by a defined period of pre-closing diligence and, ultimately, closing.

However, other structures can be considered including a simultaneous “sign and close” or a simple assignment. We work with our clients to ensure the optimal transaction structure is utilized at market-based terms and conditions.
